Description
Subject to the provisions of Rule 3 the Fund shall be held by the Trustees upon trust to make by way of lump sums or periodical payments such grants of a discretionary character as the Company or its nominee or nominees as aforesaid shall approve and direct to or for the benefit of needy and deserving cases arising among employees or ex-employees or their relatives or dependants of (i) Tarmac Cement and Lime Limited (formerly known as Blue Circle Industries PLC), . or (li) such companies that were its subsidiaries as at 1st September, 2002. or (iii) such other companies as were prior to that date its subsidiaries provided that in the case of the subsidiaries benefits may only be provided for or in respect of the employees and ex employees who were employed at a time when it was a subsidiary of the Company. Notwithstanding the foregoing where the Fund's reserves become too high in relation to the Fund's needs, in the reasonable opinion of the Trustees, the Trustees may, subject to the approval of each of the directors of the Trustees, if the Company or its nominee or nominees shall approve and direct, make grants to or for the benefit of needy and deserving cases arising among employees or ex-employees or their relatives or dependants of associated companies of Tarmac Cement and Lime Limited.
